1. This Agreement is entered into between Muaythai Ontario and Muaythai Canada (hereinafter referred to collectively as “the Organizer”) of the one part and yourself (hereinafter referred to as “the Videographer”) of the other part.
    2. In consideration of the right of entry to the Etobicoke Olympium, 590 Rathburn Rd, Toronto, Ontario (hereinafter referred to as “the Venue”) and the mutual rights and covenants contained in this Agreement, the Organizer grants the Videographer permission to video participants and contests throughout the Muaythai Canada National Championship (hereinafter referred to as “the Event”) from July 20th-22nd, 2018.
    3. The right to record videos is subject to compliance by the Videographer with the terms of this Agreement and any material default under this Agreement may result in the subsequent refusal of entry to the Venue and/or revocation of the right at the Organiser’s discretion.
    4. The stewards, volunteers and authorized agents of the Organizer present at the Venue may revoke the permission of any person to enter or remain within the Venue on any grounds without limitation.

    Videographer’s Obligations

    1. The Videographer shall ensure that any video recording shall:
      • not interfere with, obstruct or remove any advertising at the Venue or bear any commercial message or advertisement or distribute any marketing or promotional material;
      • edit and present video recordings taken at the Event using the Adobe Premiere template provided by the Organizer;
      • provide clean copies of the contests devoid of any special effects, captions or titles unless requested by the Organizer;
      • present the Organizer with copies of the edited videos taken at the event within 30 days of the event;
      • present the Organizer with footage of a particular contest within 24 hours in the event of a disputed contest; and
      • abide by all reasonable instructions issued on behalf of the Organiser and comply with this Agreement.

    Organiser’s undertakings

    1. The Organiser undertakes on its own behalf and on behalf of any Videographer that:
      • it will compensate the Videographer the agreed upon sum upon receipt of the edited digital recordings.

    Copyright

    1. Copyright in all videos and other works in respect of which copyright may subsist supplied to the Organizer will vest and remain vested in the Videographer.
    2. The Videographer grants the Organizer the exclusive right to use and reproduce the videos, in part or in whole, in any of the Organizer's materials including on the Muaythai Canada and Muaythai Ontario websites and social media platforms.

    Assignment

    1. Neither party shall assign, transfer, subcontract or in any other manner pass to any third party the benefit and/or burden of this Agreement without the prior written consent of the other party.
